These Terms of Service ("Terms") govern your use of services provided by Hawthorn Consulting, LLC ("Hawthorn," "we," "us," or "our"). By purchasing, accessing, or using any of our services, you agree to be bound by these Terms.
Hawthorn provides managed IT services including, but not limited to: web hosting, email hosting, business phone (VoIP/PBX), desktop support, network monitoring, DNS management, PC backups, website design and management, and broadband consulting. Specific service details and pricing are agreed upon at the time of engagement.
You agree to use our services only for lawful purposes. The following activities are strictly prohibited:
Hawthorn reserves the right to suspend or terminate your services immediately, without prior notice, if we determine — in our sole discretion — that you have violated any provision of the Acceptable Use Policy.
In such cases:
You may cancel your services at any time by contacting us at customerservice@hawthornconsulting.net. Services will remain active through the end of the current billing period. No refunds are provided for partial billing periods.
We strive to maintain high availability but do not guarantee 100% uptime. Scheduled maintenance will be communicated in advance when possible. We are not liable for downtime caused by circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, upstream provider failures, or cyberattacks.
To the maximum extent permitted by law, Hawthorn's total liability for any claim arising from or related to our services shall not exceed the total amount paid by you to Hawthorn in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of data, revenue, or business opportunity.
You agree to indemnify and hold harmless Hawthorn, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these Terms.
We may update these Terms at any time. Material changes will be communicated via email or posted on our website. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Oklahoma. Any disputes arising from these Terms shall be resolved in the courts of Payne County, Oklahoma.
